RE: LETTER OF INTENT BETWEEN CINRO RESOURCES INC AND JOSEPH O. ADAMS DATED 29TH FEBRUARY, 2012

Please be advised that we have evaluated the captioned Letter of Intent between Cinro Resources Inc and Joseph O. Adams to determine whether same complies with the laws of Guyana, more specifically the Mining Act of Guyana, 1989 and the Regulations promulgated thereunder.

We have concluded that the said Letter of Intent does not in any way infringe the Mining Laws of Guyana.

We do however advise, that the due diligence undertaken by Cinro Resources Inc involve a search at the Guyana Geology and Mines Commission of the filed documents regarding the properties to determine whether the property holder has complied with all of the requirements of the Mining Act and the Regulations in relation to the properties and that the said properties are in good standing.
